Part B — Research Subscriptions & Advisory
Part B applies to a client (“Client”, “you”) that has signed or confirmed an Order Form with AltView Global DWC-LLC (“AltView”).
1. Definitions and order of priority
“Order Form” means the order form signed or confirmed by the Client, stating the services, term and fees, together with any Rider signed by both parties. “Services” means the research and advisory services in the Order Form, including reports, briefs, data files, presentations, advisory sessions and workshops (“Deliverables”). “Agreement” means the Order Form, these Terms (Part B) and, where relevant, Part A. If there is a conflict, the Order Form (including any signed Rider) prevails over these Terms.
2. Term and renewal
The Agreement starts on the start date in the Order Form and runs for the initial term stated there (twelve months if none is stated). Unless the Order Form says otherwise, it renews for successive terms of the same length unless either party gives written notice of non-renewal at least sixty (60) days before the end of the then-current term. AltView may change fees for a renewal term by written notice at least sixty (60) days before renewal.
3. Services and Deliverables
- AltView will provide the Services with reasonable skill and care, using appropriately qualified professionals. The Services are provided by AltView as a firm; AltView decides which personnel are assigned and may replace them, provided the Services continue to meet this standard.
- Scope, frequency and format are those in the Order Form. Sessions are scheduled by mutual agreement; unused advisory hours do not roll over unless the Order Form says otherwise.
- Work outside the agreed scope — such as major bespoke studies, model development, transaction support, travel and external presentations — requires a separate written scope and fee.
- The Services do not include continuous daily coverage or dedicated full-time analyst resources unless separately agreed.
4. Licence: internal business use only
Subject to payment of the fees, AltView grants the Client a limited, non-exclusive, non-transferable licence to use the Deliverables for its own internal business purposes. The Client must not publish, resell, redistribute, or make Deliverables (in whole or in substantial part) available to any third party, including affiliates not named in the Order Form, counterparties, the Client’s own clients or the press, without AltView’s prior written consent.
5. Named Users and personnel changes
Access to Deliverables is limited to the users named in the Order Form (“Named Users”). Login details must not be shared. If a Named User leaves the Client or changes role, the Client will tell AltView promptly and may replace that user with another employee by written notice; a departing user’s access ends on departure.
6. Excerpts and attribution
The Client may quote brief excerpts of Deliverables in its internal decision papers, with attribution to “AltView Insights” and without removing disclaimers or proprietary notices.
7. External quotation and use of AltView’s name
Any external quotation, publication or public reference to AltView or its Deliverables, and any use of the AltView or AltView Insights name or logo, requires AltView’s prior written approval.
8. No use as a reference price or benchmark
The Client must not use Deliverables, or any figure in them, as a reference price, index or benchmark for pricing, settling or valuing any contract, financial instrument or transaction with a third party.
9. No scraping or AI training
The Client must not use bots, crawlers or other automated tools to collect Deliverables, and must not use Deliverables or AltView materials to train, fine-tune or evaluate machine-learning or artificial-intelligence models, without AltView’s prior written consent.
10. Unauthorised use and audit
- If the Client uses or discloses Deliverables in breach of clauses 4 to 9, AltView may recover its loss and seek injunctive relief. Unless the Order Form states otherwise, the parties agree that the fees for the then-current term are a reasonable estimate of that loss, without prejudice to any other remedy.
- On thirty (30) days’ written notice, and not more than once in any twelve months, AltView may ask the Client to confirm in writing that its use complies with the Agreement, including the list of Named Users, and the Client will give reasonable information for that purpose.
11. Fees, payment and suspension
- Fees are as stated in the Order Form and are exclusive of VAT and other applicable taxes, which are added where required. Fees are invoiced in advance for the period stated in the Order Form.
- Invoices are payable by the due date stated in the Order Form or, where none is stated, within fourteen (14) days of the invoice date, in the currency on the invoice.
- Overdue amounts carry interest at 1% per month (12% per year) from the due date until payment.
- If an amount remains unpaid thirty (30) days after its due date, AltView may suspend the Services until all overdue amounts are paid. Suspension does not relieve the Client of its payment obligations.
- Fees paid in advance are non-refundable, except where the Order Form says otherwise or AltView materially fails to provide the Services.
12. Confidentiality
- Each party will keep the other’s confidential information confidential, protect it with at least reasonable care, and use it only for the Agreement. This does not apply to information that is or becomes public without breach, is lawfully received from a third party, is independently developed, or must be disclosed by law or a competent authority (in which case, where lawful, the disclosing party will give prior notice).
- Client-specific information will not be disclosed to or used for the benefit of another client.
- This clause continues for five (5) years after the Agreement ends, and indefinitely for trade secrets. Each party will use reasonable technical and organisational measures to protect the other’s confidential information.
13. Intellectual property
- AltView’s methodologies, frameworks, models, databases, templates and general market intelligence, and all intellectual property in the Deliverables, remain the property of AltView or its licensors.
- Materials and data provided by the Client remain the Client’s property. The Client allows AltView to use them only to provide the Services.
- Where the Services include help in building the Client’s in-house research capability, the frameworks, models, templates and process designs that AltView shares remain AltView’s property and are licensed for use by the Client’s own personnel only, and may not be passed to any third party or used to build a product or service for third parties.
14. Warranties and disclaimers
Except as stated in the Agreement, the Services and Deliverables are provided “as is” and all implied warranties, including accuracy, completeness and fitness for a particular purpose, are excluded to the fullest extent permitted by law. The Services are for general information and internal business planning only and are not investment, financial, trading, chartering, legal or tax advice (see Part A, clause 5). Forecasts and scenarios are uncertain. The Client remains responsible for its own decisions and for its compliance with applicable laws.
15. Limitation of liability
- To the fullest extent permitted by law, neither party is liable for loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss.
- AltView’s total liability under or in connection with the Agreement is limited to the fees paid by the Client in the twelve (12) months before the event giving rise to the claim.
- Nothing in the Agreement excludes liability for fraud or any liability that cannot be excluded by law.
16. Client name
AltView will not publicly name the Client as a client, or use its name or logo, without the Client’s prior written consent.
17. Termination
- Either party may end an engagement that has no committed term by giving the other sixty (60) days’ written notice. Where the Order Form sets a minimum term or committed fees, the Order Form governs early termination, and fees for any notice period remain payable.
- Either party may terminate immediately by written notice if the other commits a material breach that is not remedied within fourteen (14) days of notice, or becomes insolvent.
- On termination, the licence to future Deliverables ends. Deliverables already delivered remain licensed for internal use under clause 4, except where AltView terminates for the Client’s non-payment or breach of clauses 4 to 9, in which case the licence ends and the Client must stop using, and on request delete, the Deliverables. Clauses 8 to 10 and 12 to 16, and 20 to 21, continue after termination.
18. Force majeure and sanctions
Neither party is liable for failure or delay caused by events beyond its reasonable control, such as natural disasters, war, terrorism, government action, labour disputes or failure of the internet or third-party infrastructure. Each party will comply with the sanctions and trade-control laws that apply to it, and either party may suspend performance to the extent needed to comply with them. The Services are not a sanctions-screening or compliance tool.
19. Notices
Notices under the Agreement are sent by email: to AltView at info@altviewinsights.com, and to the Client at the email address in the Order Form. They are treated as delivered on the next business day.
20. General
- Entire agreement. The Order Form, any signed Rider and these Terms are the whole agreement for the Services and replace earlier discussions on the same subject.
- Changes. For an existing engagement, these Terms apply in the version in force on the date of the Order Form. AltView may propose changes to these Terms for a renewal term by notice at least sixty (60) days before renewal; the changes apply from renewal unless the parties agree otherwise in writing. No other change takes effect unless both parties agree in writing.
- Assignment and relationship. Neither party may assign the Agreement without the other’s written consent, except that AltView may assign it to an affiliate or in a sale of its business, with notice. The parties are independent contractors.
- Severability and waiver. If a provision is invalid, it is modified to the minimum extent needed and the rest continues. Failure or delay in enforcing a right is not a waiver.
21. Governing law and disputes
The Agreement and any non-contractual obligations arising from it are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The parties will first try in good faith to resolve any dispute within fourteen (14) days of a written notice of dispute. If it is not resolved, either party may bring proceedings before the Courts of Dubai, unless the Order Form specifies the Courts of the Dubai International Financial Centre (DIFC).
